By using the HARBR application, you agree to abide by these Terms of Service (the “Terms”) and our Privacy Policy, found at https://www.harbrapp.org/privacy-policy and incorporated herein by reference. If you do not agree to abide by these Terms, do not use this application. HARBR  reserves the right, in its sole discretion, to change, modify, add or remove any portion of this application, including the Terms, in whole or in part, at any time. Changes will be effective when posted. By continuing to use this application, you consent to such changes.

HARBR authorizes you to view and access a single copy of the content available on this application for your own use, including without limitation, text, written content, graphics, photographs, images, artwork, illustrations, trademarks, service marks, designs, logos, “look and feel,” audio or video clips, animations and software, and the selection and arrangement of any of the foregoing (collectively, “Content”), which are protected under the copyright laws, trademark laws and other intellectual property laws of the United States and other countries.

This application is offered and available to users who are 18 years of age or older and to users who are under the age of 18 but have parental supervision and consent. By using this application, you represent and warrant that you are of legal age to form a binding contract with HARBR and meet all of the eligibility requirements. If you do not meet these requirements, you must not access or use the application.

1. Ownership. As between you and HARBR, the application and all Content, information, products and services available on or through the application, and the hardware and software underlying the application, is the property of HARBR and its applicable affiliates, content licensors and contractors and unless otherwise expressly agreed in writing between you and HARBR, may only be used for your personal, non-commercial purposes. Except as expressly authorized in these Terms, you may not use, store, modify, reproduce, display, publish, distribute, transmit, sell, transfer, create derivative works of, publicly perform or otherwise exploit any Content or information available on or through the application, in whole or in part, whether by electronic or other means, without our prior written consent. Any names, logos or other marks used on the application may not be used or displayed without HARBR’s prior written consent. Please be advised that HARBR may record certain usage information, such as the number and frequency of visitors to this application.

The HARBR name, the HARBR logo, HARBR’s slogans/taglines, and all related names, logos, product and service names, designs, and slogans are trademarks of HARBR or its affiliates or licensors.  You must not use such marks without the prior written permission of HARBR. All other names, logos, product and service names, designs, and slogans on this application are the trademarks of their respective owners.

This application may provide links to websites and services operated and/or owned by third-party entities. The application may also contain embedded third-party content.  The availability of third-party links or services on the application does not signify that HARBR has any association with such third parties and does not constitute HARBR’s endorsement of any information, content, products or services available through such third-party sites or services. Any inquiries about such third-party sites or services should be directed to the applicable third parties. Your use of any third-party websites and services may be subject to the applicable third-party terms and conditions and privacy policies. HARBR does not have any control over these third parties and is not responsible for the actions of third parties. You acknowledge and agree that HARBR is not responsible for and will have no liability for any damage or loss in connection with your transactions or interactions with any third parties. In addition, third-party websites and services may be linked to this application, with or without HARBR’s consent. HARBR  makes no warranty or representation regarding, does not endorse, and does not accept any responsibility for, any websites linked to or from this application or the information appearing thereon or any of the products or services described thereon.

2.         Your Account.  In order to access and use the Services, you will be asked to register and create a user account (an “Account”). You agree: (i) that the registration data you provide will be true, accurate, current and complete at the time you provide it; (ii) to maintain and update such registration data to keep it true, accurate, current and complete; and (iii) that HARBR may contact you and require you to confirm some or all of your registration data before using or continuing to use these Services. You are responsible for maintaining the confidentiality of your Account credentials, including your password, and for all activities that originate from your Account, whether or not authorized by you. You agree that you will not share your username and password, or transfer, sub-license, sell or assign your rights in your Account to any other person or entity. You may not open multiple Accounts for the same Service. Any unauthorized use of your Account by any third party is subject to these Terms as though you were using the Account

We reserve the right to terminate the limited licenses granted to you and to refuse to provide you with any and all current or future use of the Services if, in our sole discretion, we determine or are of the opinion that any of your registration data is, or appears to be, untrue, inaccurate, not current or incomplete.  In addition to any right or remedy that may be available to us under these Terms or under applicable law, we may limit, suspend or terminate your access to the Services (including, without limitation, your account registration), at any time, with or without notice, and with or without cause. We also may refer any information on alleged or actual illegal activities, including your identity, to the proper authorities.  

3.         Disclaimers. Unless otherwise expressly set forth herein, HARBR makes no representation that materials on this application are appropriate or available for use in any location. If it is illegal or prohibited in your country of origin to access or use this application, then you should not do so. Those who choose to access this application do so on their own initiative and are responsible for compliance with local laws.

This application and the information and materials on this application are provided “as is” and without warranties or representations of any kind either expressed or implied and HARBR and its affiliates disclaim all warranties, expressed or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose. HARBR does not warrant the accuracy, completeness or reliability of any information on this application or that this application will operate “error free.” Your use of this application constitutes your acknowledgement that you bear all risks associated with using such content. HARBR makes no representations or warranties concerning any action taken by any person in reliance on the information provided through this application. In no event shall HARBR or its affiliates or service providers, or any of their respective partners, stockholders, members, managers, officers, directors, employees, agents, funds and such funds’ limited partners (collectively, the “HARBR Parties”), be responsible for any damages, liabilities or injury, including indirect, incidental, special, punitive, multiple, consequential or other damages, however caused, arising out of your use of (or inability to use) this application. HARBR’s liability is limited to the maximum extent permitted by law and is limited even if HARBR has been advised of the possibility of the damages, liability or injury that you suffer, including any damages, liabilities or injury caused by any failure of performance, error, omission, defect, interruption, delay in operation, computer virus, line failure or other computer malfunction.

If your use of this application gives rise to any third-party claim against you or any HARBR Party, you agree to (i) indemnify and hold harmless the HARBR Parties with respect to any such claim, (ii) release the HARBR Parties from any such claim, and (iii) waive all laws that may limit the efficacy of such release. HARBR reserves the right, at its own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify the HARBR Parties, and you agree to cooperate with our defense of these claims.

4.         Governing Law; Jurisdiction and Venue.  These Terms shall be governed by the laws of the State of California, without giving effect to its conflict of law provisions. Any dispute relating to these Terms shall be brought solely in the state or federal courts located in California and you agree that such courts shall have jurisdiction over you in connection with any such dispute. You must commence any cause of action you may have with respect to your use of this application within one year after the claim or cause of action arises. If, for any reason, a court of competent jurisdiction finds any provision in these Terms to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of these Terms, and the remainder shall continue in full force and effect.

5.         Jury Trial Waiver.  You and HARBR knowingly, intentionally, irrevocably and unconditionally waive any and all right to a trial by jury in any litigation arising out of or concerning these Terms or any other related document or related obligation.

6.         Arbitration. At HARBR’s sole discretion, it may require you to submit any disputes arising from these Terms or use of the application, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying California law.

7.         Limitation on Time to File Claims.  ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE APPLICATION MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
